1. Introduction

These Terms of Service explain how I work with my clients, how projects are billed, what I need from you throughout the project, and what you can expect from me in return.

They’re intended to protect both of us by setting clear expectations from the beginning. If anything is unclear, please ask before work begins. It’s always easier to clarify something early than resolve a misunderstanding later.

Accepting a quotation, confirming an order, or paying any invoice confirms your acceptance of these Terms of Service.

2. Quotations

Unless stated otherwise, all quotations remain valid for 30 days from the date of issue.

After this period, I reserve the right to revise the proposed price, project schedule, or scope of work if circumstances have changed.

Any work requested outside the agreed quotation may require a revised quotation or a separate estimate.

3. Payment

3.1 Website Development & Custom Projects

Website development and custom software projects are completed in stages.

  • 50% of the total project fee is payable before work begins.

  • 25% becomes payable once the first functional version of the project has been presented.

  • The remaining 25% is payable before the completed project is launched or handed over.

If I’m unable to present the first functional version because I’m waiting for content, feedback, approvals, or other required information from you, I reserve the right to invoice the second payment milestone after 60 days from the project start date.

No website, application, or other deliverable will be launched, transferred, or released until all outstanding invoices relating to that project have been paid in full.

3.2 Support, Maintenance & One-Off Services

Website maintenance, technical support, consultations, troubleshooting, content updates, and other one-off services are invoiced once the agreed work has been completed.

Unless agreed otherwise, invoices for these services are payable within 7 days.

3.3 Hosting & Recurring Services

Hosting, maintenance plans, and any recurring services are billed in advance for the upcoming service period.

Services may only begin or continue once payment has been received.

3.4 Late Payments

If an invoice remains unpaid after its due date, I reserve the right to suspend any services directly related to that invoice until payment has been received.

Where services need to be reinstated following suspension, I may charge a reasonable administration fee reflecting the work required to restore those services.

Until full payment has been received, all source code, design files, project assets, documentation, and other deliverables remain my property.

4. Working Together

Successful projects rely on cooperation from both sides.

I’ll keep you informed throughout the project, ask questions whenever clarification is needed, and let you know if I believe something may affect the agreed budget or timeline.

In return, I ask that you provide requested content, feedback, approvals, and other project materials within a reasonable timeframe.

All content should be supplied digitally unless we’ve agreed otherwise.

If additional information or approval is required, I ask that you respond without unnecessary delay.

If I don’t receive the required materials for more than 30 days after requesting them, I may place the project on hold.

While a project is on hold, all agreed delivery dates and estimated completion dates are automatically suspended.

If a project remains on hold for more than 90 days, I reserve the right to invoice all work completed up to that point.

Projects that remain on hold for more than 180 days may require a revised timeline and updated quotation for any remaining work before development resumes.

Because I continue accepting new projects, I cannot reserve development time indefinitely. Once all required materials have been received, your project will be scheduled according to my current availability.

5. Changes to the Project

Every quotation is based on the scope of work agreed at the beginning of the project.

It’s completely normal for ideas to evolve during development. Small adjustments are usually part of the process and can often be accommodated without affecting the overall budget or timeline.

However, requests that introduce new functionality, significantly alter the agreed specification, or require substantial additional work may be treated as a change of scope.

If that’s the case, I’ll always discuss the impact with you before carrying out any additional work. This may include a revised quotation, additional charges, or an updated delivery schedule.

No chargeable work outside the agreed scope will be undertaken without your approval.

6. Project Delivery

Estimated delivery dates are based on the assumption that the project progresses without significant interruptions and that the required information is provided on time.

If delays occur due to missing content, delayed feedback, additional requests, or other circumstances outside my control, the project timeline will be adjusted accordingly.

Before a project is launched or handed over, you’ll have the opportunity to review the completed work and request corrections for any issues that fall within the agreed specification.

Requests for new features or changes outside the original scope will be treated as additional work.

7. Content & Intellectual Property

You’re responsible for ensuring that all text, images, logos, trademarks, videos, documents, and other materials supplied for your project are accurate, lawful, and that you have the necessary rights to use them.

I cannot accept responsibility for any copyright, trademark, licensing, or intellectual property issues arising from materials supplied by you.

Unless specifically agreed otherwise, proofreading and verification of factual accuracy remain your responsibility.

Upon full payment, ownership of the completed project and any agreed deliverables transfers to you, excluding any third-party software, libraries, commercial licences, or components that remain subject to their respective licence agreements.

I retain ownership of any development tools, reusable code, internal frameworks, libraries, workflows, or other components developed independently of your project.

8. Domains & Hosting

If requested, I can register and manage domain names on your behalf.

Domains registered in your name remain your property.

If there are outstanding invoices relating to hosting or domain services, I reserve the right to delay the transfer of domains or related services until all outstanding balances have been settled.

Hosting services are provided for the agreed subscription period and are renewed upon payment of the relevant renewal invoice.

If hosting services are cancelled or transferred to another provider, I will provide reasonable assistance with the migration where appropriate. Additional migration work may be chargeable.

9. Technical Support

Where required, I’ll provide the information necessary for you or your IT provider to configure hosting, email accounts, DNS records, or other services that I manage on your behalf.

Unless specifically included within the agreed scope of work, configuration of your own computers, mobile devices, networks, printers, or internal IT infrastructure is not included.

If additional technical assistance outside the agreed scope is requested, it may be provided as a separately chargeable service.

10. Portfolio & References

Unless we’ve agreed otherwise in writing, I may include completed projects in my portfolio and reference them when presenting previous work to prospective clients.

This may include screenshots, project descriptions, publicly accessible website addresses, or other material already available in the public domain.

Confidential information, unpublished material, and private project details will never be disclosed without your permission.

11. Privacy

Any personal or business information you provide during the course of our work together will be used solely for the purpose of delivering the agreed services and maintaining our business relationship.

I take reasonable technical and organisational measures to protect your information against unauthorised access, disclosure, or misuse.

Your information will never be sold or shared with third parties unless required to deliver the agreed services, comply with legal obligations, or where you have given your explicit permission.

Where third-party services are used as part of your project (such as hosting providers, domain registrars, payment processors, or email services), only the information necessary to provide those services will be shared.

12. Limitation of Liability

While I take every reasonable care to deliver reliable and high-quality services, I cannot guarantee that any website, application, server, or third-party service will operate without interruption or be completely free of errors.

I cannot accept responsibility for delays, interruptions, or losses resulting from circumstances beyond my reasonable control, including failures of third-party providers, hosting companies, internet service providers, domain registrars, software vendors, or force majeure events.

My liability is limited to the value of the services supplied under the relevant project or invoice.

Nothing in these Terms limits or excludes liability where such limitation is not permitted by applicable law.

13. Termination

Either of us may terminate a project or ongoing service at any time by giving written notice.

If a project is terminated after work has begun, you’ll only be invoiced for the work completed up to the date of termination, together with any agreed project milestones that have already become due under these Terms.

Any outstanding invoices remain payable in accordance with their stated payment terms.

Upon request and once all outstanding invoices have been settled, I’ll provide any agreed project files or deliverables completed up to the termination date.

14. Final Provisions

These Terms of Service form part of every quotation, proposal, and agreement between us unless otherwise agreed in writing.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

I may update these Terms of Service from time to time. Any updated version will apply only to new projects unless we agree otherwise in writing.
